General Terms and Conditions<\/h2>

1. Scope<\/h3>

1.1.<\/strong> All deliveries, services and offers of Huckfeldt & Thorlichen GmbH & Co. KG, Basshorn 11, D-25436 Tornesch (hereinafter “Seller”) shall be made exclusively on the basis of these General Terms and Conditions…<\/p>

1.2.<\/strong> Terms and conditions of the customer or third parties shall not apply, even if the Seller does not separately object to their applicability in individual cases…<\/p>

2. Offer and conclusion of contract<\/h3>

2.1.<\/strong> All offers of the Seller are subject to change and non-binding…<\/p>

2.2.<\/strong> A contract shall only be concluded \u2013 unless expressly agreed otherwise \u2013 upon written order confirmation…<\/p>

2.3.<\/strong> The written purchase agreement shall be solely decisive for the legal relationship between the Seller and the customer…<\/p>

2.4.<\/strong> Additions to and amendments of the agreements made must be in writing…<\/p>

3. Prices and payment<\/h3>

3.1.<\/strong> The prices apply to the scope of services and deliveries stated in the order confirmations…<\/p>

3.2.<\/strong> Invoice amounts shall be paid within thirty days without any deduction…<\/p>

3.3.<\/strong> Set-off against counterclaims is only permissible under certain conditions…<\/p>

3.4.<\/strong> The Seller is entitled to execute deliveries only against advance payment if there are doubts about creditworthiness…<\/p>

4. Delivery and delivery time<\/h3>

4.1.<\/strong> Deliveries shall be ex works, unless otherwise agreed.<\/p>

4.2.<\/strong> Delivery periods are generally non-binding unless expressly agreed as fixed dates.<\/p>

4.3.<\/strong> Delivery periods may be extended if the customer fails to meet its obligations.<\/p>

4.4.<\/strong> No liability in the event of force majeure or unforeseeable events.<\/p>

4.5.<\/strong> Partial deliveries are permissible if reasonable.<\/p>

4.6.<\/strong> Liability for delay is governed by Clause 7.<\/p>

5. Place of performance, shipment, transfer of risk<\/h3>

5.1.<\/strong> The place of performance is Tornesch.<\/p>

5.2.<\/strong> The method of shipment and packaging shall be determined by the Seller.<\/p>

5.3.<\/strong> Risk shall pass upon handover to the transport service provider.<\/p>

5.4.<\/strong> Storage costs shall be borne by the customer.<\/p>

5.5.<\/strong> Insurance shall be arranged only upon request.<\/p>

5.6.<\/strong> Transport damage must be reported directly to the carrier.<\/p>

5.7.<\/strong> Goods must be inspected without undue delay.<\/p>

6. Warranty<\/h3>

6.1.<\/strong> The warranty period is one year.<\/p>

6.2.<\/strong> Obligation to inspect and give notice of defects pursuant to Section 377 of the German Commercial Code (HGB).<\/p>

6.3.<\/strong> Inspection prior to further processing is required.<\/p>

6.4.<\/strong> Rectification or replacement delivery at the Seller’s discretion.<\/p>

6.5.<\/strong> Damages only under the conditions of Clause 7.<\/p>

7. Liability<\/h3>

7.1.<\/strong> Liability is limited.<\/p>

7.2.<\/strong> No liability for simple negligence (with exceptions).<\/p>

7.3.<\/strong> Liability limited to foreseeable damages.<\/p>

7.4.<\/strong> This also applies to employees.<\/p>

7.5.<\/strong> Exceptions apply in cases of intent and personal injury.<\/p>

8. Retention of title<\/h3>

8.1.<\/strong> Goods shall remain the property of the Seller until full payment has been made.<\/p>

8.2.<\/strong> Processing shall be carried out on behalf of the Seller.<\/p>

8.3.<\/strong> Resale permitted; claims shall be assigned.<\/p>

8.4.<\/strong> In the event of default, goods may be reclaimed.<\/p>

8.5.<\/strong> Insolvency entitles the Seller to withdraw from the contract.<\/p>

8.6.<\/strong> International regulations shall be adapted accordingly.<\/p>

8.7.<\/strong> The Seller may request information.<\/p>

9. Final provisions<\/h3>

9.1.<\/strong> Place of jurisdiction is Hamburg or the customer’s registered office.<\/p>

9.2.<\/strong> German law shall apply (CISG excluded).<\/p>
